SchoolQualityReview.ai is owned and operated by Qualivai Inc. (“Qualivai,” “we,” “us,” or “our”). By accessing, registering for, or using SchoolQualityReview.ai (the “Platform”), you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be legally bound by the following Terms of Use and all incorporated policies, including our Privacy Practices.

1. Purpose and Nature of the Platform

SchoolQualityReview.ai is a research-based, AI-assisted tool intended to support school self-assessment, reflection, and improvement planning. The Platform aggregates and analyzes user-submitted materials and data using automated and artificial-intelligence-assisted processes.

The Platform does not replace professional judgment, site visits, audits, formal evaluations, or determinations made by authorizers, accrediting bodies, regulators, boards, or other oversight entities. All outputs are informational only, may contain inaccuracies or omissions, and must be reviewed by qualified personnel in light of local laws, requirements, and additional evidence.

2. No Professional Advice or Determinations

The Platform does not provide legal, financial, compliance, accreditation, educational, or regulatory advice. Use of the Platform does not create any professional, fiduciary, advisory, or contractual relationship beyond these Terms.

You agree that:

  • Platform outputs are not final judgments or determinations
  • You will not rely on Platform outputs as the sole basis for consequential decisions
  • Independent verification and professional review are required

3. Features

Features are subject to change, modification, suspension, or removal at any time without notice.

4. User Responsibilities & Data Uploads

You represent and warrant that:

  • You have the legal right and authority to upload all documents and information
  • You will not upload confidential, proprietary, personally identifiable, or student-identifying information unless you have obtained all required permissions, authorizations, and consents under applicable law
  • You are solely responsible for the content you submit and for ensuring compliance with FERPA, state privacy laws, and other applicable regulations

Qualivai Inc. assumes no responsibility for improperly uploaded data or unauthorized disclosures caused by User actions.

5. Disclaimer of Warranties

THE PLATFORM AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.

Qualivai Inc. does not warrant that:

  • Results will be accurate, complete, or current
  • The Platform will meet your specific needs
  • Errors or defects will be corrected

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUALIVAI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF OPPORTUNITY, OR REGULATORY CONSEQUENCES, ARISING OUT OF OR RELATING TO USE OF THE PLATFORM OR RELIANCE ON ITS OUTPUTS.

In no event shall Qualivai Inc.’s total liability exceed the amount paid by you to Qualivai Inc. in the twelve (12) months preceding the claim, or $100, whichever is greater.

7. Indemnification

You agree to indemnify, defend, and hold harmless Qualivai Inc., its officers, directors, employees, contractors, and agents from and against any and all claims, demands, losses, causes of action, damages, lawsuits, judgments, liabilities, penalties, and expenses (including reasonable attorneys’ fees and costs), but only to the extent caused by, arising out of, or relating to:

  • Your use or misuse of the Platform
  • Your uploaded content or data
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights
  • Reliance by you or third parties on Platform outputs

8. No Endorsement or Affiliation

References to schools, authorizers, accrediting bodies, organizations, frameworks, or institutions are for descriptive or analytical purposes only and do not imply endorsement, approval, sponsorship, or affiliation.

9. Choice of Law & Governing Law

This Agreement shall be interpreted, construed, and governed exclusively by the laws of the State of California, without regard to conflict-of-law principles.

10. Updates and Modifications

Qualivai Inc. reserves the right to update or modify these Terms and related privacy practices at any time. Continued use of the Platform constitutes acceptance of any updated terms.
